Terms and Conditions

This Agreement, henceforth referred to as the “Agreement,” establishes a legally binding relationship between the party identified as the “Partner” 

and My Cloud Dashboard, a company registered in the Isle of Man under Company No. 135944C, with its registered office at 37 Station Road, Port Erin, Isle of Man, IM9 6AW, henceforth referred to as “My Cloud Dashboard.”

  1. Acceptance and Obligations

1.1. Upon registering and submitting the application to become a Partner, the Partner acknowledges acceptance and agrees to abide by the terms outlined in this Agreement.

1.2. My Cloud Dashboard, upon confirming the Partner’s acceptance either through email or in writing, commits to adhering to the terms specified in this Agreement.

1.3. Throughout the Agreement’s duration, My Cloud Dashboard undertakes to:

1.3.1. Host and provide backup administration and Partner support services for the Partner’s use of the Platform.

1.3.2. Remit a referral fee to the Partner based on net receipts of payments made to My Cloud Dashboard by referred operators, in accordance with section 2.3.

1.4. During the Agreement, the Partner is responsible for hosting the My Cloud Dashboard platform and providing a stable operating environment for the referred operators.

  1. Partner Payments and Referral Fees

2.1. My Cloud Dashboard and its payment service partners handle processing operator payments, reserving the right to reject non-compliant payments.

2.2. My Cloud Dashboard will pay the Partner an agreed-upon referral fee revenue share on net payments received from referred operators, following the specified payment terms.

2.3. The standard referral fee commission rate is 20% of Net Revenues, subject to written agreement for any rate amendments.

2.4. “Net payments” are defined as gross sales receipts less applicable deductions. Payments are made 10 days in arrears, with monthly disbursement on the 10th of each month for the preceding payment period.

2.5. Partner payments are made via bank transfer, allowing the Partner to select their preferred currency (EUR, USD, or GBP).

2.6. VAT registered Partners receive commissions inclusive of VAT, with the Partner solely responsible for remitting VAT to the relevant tax authority.

2.7. My Cloud Dashboard is not liable for referral fees related to introductions of other Customer/Partners to My Cloud Dashboard unless expressly agreed upon in writing.

  1. Partner Website Policies

3.1. My Cloud Dashboard provides a Partner Administration Interface for the Partner to manage referred operators, with adherence to guidelines.

3.2. Subscription prices for platform access are determined at My Cloud Dashboard’s discretion, and Partners must not offer unauthorized discounts without written agreement.

3.3. Partners may use the platform for personal business use, and all contractual terms with Partners remain confidential.

3.4. The Partner agrees to receive promotional information from My Cloud Dashboard, with the option to unsubscribe.

3.5. My Cloud Dashboard is responsible for providing customer support to operators.

  1. Unsolicited Email Policy

4.1. Sending unsolicited emails (spam) to promote My Cloud Dashboard is strictly prohibited and may result in contract termination.

4.2. Unsolicited email refers to any commercial email sent without an existing relationship or user permissions for promotional purposes.

4.3. The Partner indemnifies My Cloud Dashboard against any claims arising from a breach of this policy.

  1. Personal Information and Data Protection

5.1. Operator profiles and customer data are treated as confidential, with ownership belonging to the operator.

5.2. My Cloud Dashboard commits to complying with data protection obligations under the Isle of Man Data Protection Act 2002.

  1. Partner Confidentiality and Information

6.1. The Partner maintains confidentiality of their account information and protects access details.

6.2. Both parties agree to keep confidential technical, operational, financial, and commercial information disclosed during the Agreement.

6.3. Confidentiality does not apply to information in the public domain or required by law.

  1. Modifications to this Agreement

7.1. My Cloud Dashboard may modify terms with notice, and Partners may terminate if not in agreement, subject to a 30-day notice period.

7.2. Partner acceptance of modifications is implied through continued use of the Platform.

  1. Term and Termination

8.1. The Agreement commences upon acceptance, with an initial term of 12 months, automatically renewing unless terminated earlier.

8.2. Either party may terminate with a 3-month notice, and My Cloud Dashboard may terminate immediately for specified reasons.

8.3. Upon termination, Partner payments continue for six months, subject to conditions outlined in the Agreement.

  1. Limitation of Liability

9.1. My Cloud Dashboard is not liable for indirect or consequential damages, with aggregate liability capped at total referral fees paid.

  1. Warranties and Indemnities

10.1. My Cloud Dashboard makes no guarantees on Partner revenue and does not warrant uninterrupted operation of the Platform.

10.2. The Partner indemnifies My Cloud Dashboard against third-party claims arising from specified breaches.

  1. General

11.1. The Partner and My Cloud Dashboard are independent contractors, and the Agreement represents the entire understanding between the parties.

11.2. Disputes are to be resolved within 28 days of notification to My Cloud Dashboard.

11.3. The Partner is solely responsible for taxes on partner payments in compliance with applicable laws.

11.4. This Agreement is governed by the laws of the Isle of Man, with disputes settled through arbitration.

11.5. This Agreement supersedes any prior agreements or understandings.

11.6. By signing this Agreement, the Partner acknowledges reading and agreeing to its terms.
